These Terms of Service ("Terms") govern your access to and use of the websites, applications, and digital services (collectively, the "Services") operated by Proof Digital Inc. ("Proof Digital," "we," "us," or "our"), a company based in Canada.

Our Services include, but are not limited to:

  • Lime Recruiter - a white-label recruitment and applicant management platform;

  • Evrylist - a builder-centric MLS-style platform;

  • Software automation and integration solutions;

  • Web application development;

  • Data accessibility, analytics, and visualization services;

  • Web development and design;

  • Advertising and marketing services;

  • AI automation consulting (including OpenClaw); and

  • Any other digital products or services offered through proofdigital.app or related domains.

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Accounts and Access

Some Services require you to create an account or authenticate through a third-party provider (e.g., Google, Microsoft, or Auth0). When you do so, you agree to:

  • Provide accurate and complete information;

  • Keep your login credentials secure and confidential;

  • Notify us promptly of any unauthorized access to your account; and

  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

2. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right;

  • Transmit malicious code, spam, or any content that is harmful, fraudulent, or deceptive;

  • Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems;

  • Interfere with or disrupt the integrity or performance of the Services; or

  • Scrape, harvest, or collect data from the Services by automated means without our prior written consent.

3. Intellectual Property

All content, software, designs, trademarks, and other intellectual property associated with the Services are owned by or licensed to Proof Digital Inc. You may not copy, modify, distribute, or create derivative works from any part of the Services without our express written permission.

Any content you submit or upload to the Services ("User Content") remains yours. By submitting User Content, you grant Proof Digital a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Services.

4. Third-Party Authentication and Integrations

Certain Services allow or require authentication through third-party providers such as Google or Microsoft. When you authenticate through these providers, you authorize us to access limited profile information (such as your name and email address) as permitted by the provider and necessary to operate the Service. Your use of any third-party service is also subject to that provider's own terms and privacy policy.

5. Privacy and Data

We collect and process personal data in accordance with applicable privacy laws. The data we collect depends on the specific Service you use and may include information you provide directly (such as contact details) and information collected automatically (such as usage logs and device information).

6. Service Availability and Modifications

We strive to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use.

7. Payment and Subscriptions

Certain Services may require payment. If so, the pricing, billing cycle, and payment terms will be presented to you before purchase. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change pricing with reasonable notice.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Proof Digital disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your specific requirements or expectations.

9. Limitation of Liability

To the fullest extent permitted by law, Proof Digital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our total aggregate liability for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Proof Digital Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party right.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access at our discretion if we believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately, though provisions that by their nature should survive (such as intellectual property, limitation of liability, and indemnification) will remain in effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
